These Terms and Conditions (“Terms”) govern your access to and use of xWall.us (the “Site”) and any content, features, subscriptions, and services offered through the Site (collectively, the “Services”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1) Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Site. By using the Site, you represent that you meet this requirement and that your use is lawful in your location.

2) Accounts and Security

To access certain features (including subscriptions and uploads), you may need an account. You agree to:

  • Provide accurate, current information
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access or security breach

You are responsible for all activity that occurs under your account.

3) Subscription Plans, Billing, and Renewal

3.1 Plans and pricing

Subscription options, features, and pricing are shown on the Site at the time of purchase. We may change pricing or plan features in the future as permitted by law; any changes will apply to future billing periods and we will provide notice where required.

3.2 Auto-renewal

Unless stated otherwise at checkout, subscriptions renew automatically at the end of each billing period (e.g., monthly or annually) until you cancel.

By purchasing a subscription, you authorize us (and our payment processor) to charge your payment method on a recurring basis.

3.3 Free trials (if offered)

If you start a free trial, your payment method may be required at signup. Unless you cancel before the trial ends, you will be charged the subscription fee at the end of the trial period.

3.4 Taxes

Applicable taxes may be added based on your location.

3.5 Failed payments

If a payment fails, we may retry the charge, suspend your subscription, and/or restrict access until payment is successfully processed.

4) Cancellation and Refunds

4.1 Cancellation

You can cancel your subscription at any time via xWall.us/my-account or by contacting support@xWall.us.

Unless otherwise stated, cancellation takes effect at the end of your current billing period. You will continue to have access until the period ends.

4.2 Refunds

  • Payments are non-refundable, and we do not provide prorated refunds for partial billing periods.

5) User Content (Uploads)

5.1 Your responsibility

The Site may allow you to upload, submit, or publish content (including text, images, video, audio, links, or other materials) (“User Content”). You are solely responsible for your User Content and for the consequences of posting it.

You represent and warrant that:

  • You own your User Content or have all rights and permissions needed to upload it
  • Your User Content does not infringe any third-party rights (copyright, trademark, privacy, publicity, etc.)
  • Your User Content complies with these Terms and all applicable laws

5.2 License you grant to us

By uploading or submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting/technical purposes only), distribute, publicly display, publicly perform, and otherwise use your User Content as necessary to operate, improve, promote, and provide the Services.

This license continues until you remove your User Content, except that:

  • Copies may remain in backups for a limited time, and
  • If your content was shared with others who did not delete it, it may remain visible to them.

5.3 Moderation and removal

We do not have to review User Content before it is posted. However, we may (but are not required to) monitor, remove, restrict, or disable access to User Content at any time for any reason, including if we believe it violates these Terms.

6) Prohibited Content and Conduct

You may not use the Site to post, upload, transmit, or engage in content or conduct that is:

  • Illegal, fraudulent, or promotes illegal activity
  • Defamatory, threatening, harassing, hateful, or discriminatory
  • Sexually exploitative, depicts minors, or includes any child sexual abuse material (CSAM)
  • Non-consensual sexual content (including “revenge porn”) or content that violates someone’s privacy
  • Infringing (copyright, trademark, trade secret, privacy/publicity rights)
  • Malware, spyware, or attempts to compromise security or access
  • Spam, misleading, or deceptive practices
  • Impersonation of others or misrepresentation of affiliation

You also agree not to:

  • Scrape, harvest, or collect data from the Site without permission
  • Reverse engineer or bypass access controls or subscription paywalls
  • Interfere with the Site’s operation (e.g., DDoS, automated abuse, overload)

7) Copyright Complaints (DMCA)

If you believe your copyrighted work was posted on the Site without authorization, send a DMCA notice to:

Your notice should include: (1) identification of the copyrighted work, (2) the URL/location of the allegedly infringing material, (3) your contact info, (4) a statement of good-faith belief, (5) a statement under penalty of perjury that the notice is accurate and you are authorized to act, and (6) your physical or electronic signature.

We may remove content and, in appropriate circumstances, terminate repeat infringers.

8) Acceptable Use; Site Access

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Site for personal, lawful purposes in accordance with these Terms.

We may suspend or terminate access to the Site or Services (including your account/subscription) if:

  • You violate these Terms,
  • We reasonably believe your activity risks harm to the Site, other users, or third parties, or
  • Required by law.

9) Intellectual Property

Except for User Content, all Site content, software, design, logos, and trademarks are owned by us or our licensors and are protected by intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from our content without written permission, except as allowed by law.

10) Third-Party Services and Links

The Site may contain links to third-party websites or services, or include embedded content. We do not control third parties and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

11) Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the Site will be uninterrupted, secure, or error-free, or that any User Content will be accurate or reliable.

User Content is provided by users. We are not responsible for User Content or for any loss or damage arising from it.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  • (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
  • (B) $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13) Indemnification

You agree to defend, indemnify, and hold harmless us and our owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Site or Services,
  • Your User Content, or
  • Your violation of these Terms or any applicable law or third-party rights.

14) Termination

You may stop using the Site at any time. We may suspend or terminate your access and/or account as described in these Terms.

Sections that by their nature should survive termination will survive, including: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

15) Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.

Any dispute arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction and venue in those courts.

16) Changes to the Services or Terms

We may modify or discontinue any part of the Services at any time. We may also update these Terms; when we do, we will revise the Effective date. If changes are material, we may provide additional notice. Continued use after changes means acceptance.
